Terms of Service

1.1 Preamble and Binding Agreement

By creating an account, placing an order, or otherwise using any GigaNodes service, the Subscriber enters into a legally binding agreement with GigaNode Technologies Private Limited. If you do not agree to these terms, you must not use the Services.

1.2 Modification of Terms

The Company may modify these terms from time to time. The current version is always published at this URL with its version number and effective date. Continued utilization of the Services after modification constitutes acceptance of the amended terms.

1.3 Service Provisioning and “As-Is” Stipulation

Services are provided on an “as-is” and “as-available” basis. The Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and uninterrupted or error-free operation, except as expressly committed in the Service Level Agreement.

1.4 Limitation of Liability

The Company shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data. The Company's total aggregate liability shall not exceed the amount paid by the Subscriber in the one (1) month preceding the event giving rise to the claim.

1.5 Indemnification

The Subscriber agrees to defend, indemnify, and hold the Company harmless against claims arising from the Subscriber's violation of these terms, misuse of the Services, or violation of applicable law involving the Subscriber's data or conduct.

1.6 Data Integrity and Backups

The Subscriber bears sole responsibility for maintaining independent backups of their data. While the Company operates backup systems as a courtesy on select products, the Company assumes no liability for loss of data, corruption, or failure to restore backups.

1.7 Force Majeure

The Company is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, labour disputes, upstream network failures, or actions of governmental authorities.

1.8 Dispute Resolution and Arbitration

Any dispute arising from this agreement shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, seated in Ghaziabad, Uttar Pradesh, in the English language. The Subscriber waives participation in any class or representative action.

1.9 Severability

If any provision of this agreement is held invalid or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.

1.10 Payments and Settlement

Fees are billed in advance per the selected billing cycle. Listed prices exclude GST, which is added at checkout with a GST invoice. Refunds, where applicable under the Refund Policy, are processed to the original payment method and may be subject to payment-processor settlement delays (including PayPal).
